Terms of Service
These Terms govern access to and use of Leadilla. Effective date: March 4, 2026.
1. Who We Are
Leadilla is operated by Sanitify OÜ, Meistri 16, 135617, Tallinn, Estonia ("Sanitify", "we", "us", "our").
2. Acceptance of These Terms
By accessing or using Leadilla, you agree to these Terms of Service ("Terms"). If you use Leadilla on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Service Scope
Leadilla provides AI-assisted support workflow software. Current live scope is email-first support operations, including mailbox ingestion, request triage support, draft generation, and human-reviewed response workflows.
Any roadmap or preview functionality is informational unless and until made generally available under your plan or order form.
4. Eligibility and Account Registration
You must provide accurate account information and keep it updated. You are responsible for credentials, account access controls, and all activity under your account unless caused by our breach of these Terms.
5. Customer Responsibilities
You are responsible for:
1) your Customer Data and instructions provided to the service;
2) ensuring lawful basis and permissions for data you upload or process;
3) reviewing and approving outbound responses when your policies require human review;
4) configuring workflows, escalation rules, and user permissions appropriately.
6. Acceptable Use
You may not use the service to:
1) violate applicable law or third-party rights;
2) transmit malware, harmful code, or security attacks;
3) submit unlawful, abusive, fraudulent, or infringing content;
4) attempt unauthorized access to systems or data;
5) reverse engineer, copy, or resell the service except as expressly permitted.
7. Fees, Billing, and Renewals
Paid plans, billing cycles, and usage limits are defined in your checkout flow, order form, or written commercial terms. Unless agreed otherwise, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes on our net income.
8. Intellectual Property
Sanitify and its licensors retain all rights, title, and interest in Leadilla, including software, models, UI, and related materials. These Terms do not transfer ownership of our intellectual property to you.
You retain rights in your Customer Data. You grant us the rights necessary to host, process, and transmit Customer Data solely to provide and secure the service and comply with legal obligations.
9. Confidentiality
Each party must protect the other party's non-public confidential information using reasonable care and may use it only to perform under these Terms. This obligation does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
10. Data Protection
Our Privacy Policy describes how we handle personal data. Where required by law and where we process personal data on your behalf, data protection terms may be governed by a separate data processing agreement (DPA) or contractual addendum.
11. Third-Party Services
Leadilla may interoperate with third-party services selected by you. Your use of third-party services is governed by those providers' terms and policies, and we are not responsible for third-party products.
12. Availability and Changes
We may improve, modify, or discontinue features from time to time. We do not guarantee uninterrupted or error-free service. We may perform maintenance or deploy updates that temporarily affect availability.
13. Suspension and Termination
We may suspend access if needed to protect service security, investigate abuse, or enforce these Terms. Either party may terminate for material breach if the breach is not cured within a reasonable notice period. Upon termination, your access ends and data handling follows applicable contract terms and legal requirements.
14. Disclaimers
Except as expressly stated in a signed agreement, Leadilla is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data. Except for liabilities that cannot be limited by law, each party's aggregate liability arising out of or related to these Terms is limited to the amounts paid or payable by you for Leadilla during the 12 months before the event giving rise to liability.
16. Indemnification
You agree to indemnify and hold harmless Sanitify from third-party claims arising from your unlawful use of the service, your Customer Data, or your breach of these Terms, except to the extent caused by our breach or misconduct.
17. Governing Law and Venue
These Terms are governed by the laws of Estonia, without regard to conflict of law rules. Courts of Tallinn, Estonia have exclusive jurisdiction unless mandatory law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. Material changes become effective on posting or as otherwise communicated. Continued use of Leadilla after the effective date means you accept the updated Terms.
